These Terms govern access to and use of the SeatSocial website (seatsocial.net and related pages, the "Site"), operated by Simplix Consulting LLC, d/b/a SeatSocial. By using the Site, you agree to these Terms. If you become a paying Customer of the platform, your use of the platform (not just the Site) is governed by the separate Customer Service Agreement, which controls in any conflict regarding the platform/Services.
1. Who May Use the Site
Intended for business owners/operators/staff evaluating or using SeatSocial; not directed to children. By using the Site you represent you're 18+ and, if acting for a business, authorized to do so.
2. The Site Is Informational — Not a Standalone Contract for Services
Browsing or submitting a form doesn't itself create a contract for paid Services. Paid Services begin only once a Customer Service Agreement is signed and billing info is provided via our payment processor.
3. Accounts & Forms
Form submissions must be accurate/current. We may use submitted info to contact you, consistent with the Privacy Policy.
4. Intellectual Property
4.1 Our Content. Site content (text, graphics, logos, marks, design, code) is owned by SeatSocial/licensors and protected by IP law. Personal/business evaluation use only — no copying, reproduction, distribution, or derivative works without written permission.
4.2 Feedback. Feedback/suggestions may be used by SeatSocial without obligation or compensation.
5. Acceptable Use
No unlawful use; no unauthorized access attempts; no interference/disruption (malware, scraping, excessive automated requests); no false/misleading form submissions; no reproducing/reselling/exploiting the Site without permission.
6. Third-Party Links & Services
The Site may reference third-party services (payment, scheduling, social platforms). We don't control them and aren't responsible for their content/terms/practices.
7. Disclaimers
Site provided "as is"/"as available," no warranties of merchantability, fitness, or non-infringement. No guarantee of uninterrupted/secure/error-free operation or that pricing/feature info is always current. Results statements (engagement, growth) are illustrative, not guarantees.
8. Limitation of Liability
No indirect/incidental/special/consequential damages. Total liability from Site use (distinct from any CSA liability) capped at $100.
9. Indemnification
You indemnify SeatSocial against claims/damages/expenses (including reasonable attorneys' fees) arising from your misuse of the Site or Terms violation.
10. Changes to the Site or These Terms
May be updated anytime; material changes get an updated effective date and, where appropriate, additional notice. Continued use after changes = acceptance.
11. Governing Law
State of Rhode Island, without regard to conflict-of-laws principles; disputes resolved in Rhode Island's courts unless law requires otherwise.
12. Termination of Access
SeatSocial may restrict/terminate Site access anytime, any reason, without notice.
13. Severability & Entire Agreement
Unenforceable provisions severable; remainder stays in force. These Terms + Privacy Policy + (where applicable) signed CSA = entire agreement regarding Site/Services.
